About the role 
This newly created role as Head of Corporate Counsel will report to the Office of General Counsel, the role will have broad responsibility within the Australian business from contract negotiation of asset acquisitions and third-party contracts to corporate compliance and governance while utilising and managing external legal advice and international assistance.
The Head of Corporate Counsel will suit an experienced lawyer with the ability to give clear, relevant and business-focused advice. Mainly an Australian-focused role, the work will be varied and require the successful candidate to build good working relationships with colleagues across Europe and the US as part of a high performing legal team.

Main Duties and Responsibilities:
  • Drafting and negotiation of NDAs, sale and purchase agreements, and ancillary documents
  • Responsibility for Investment Compliance: Contract Summary, approvals, board resolutions
  • Liaise with Acquisitions, Operations, Investment Compliance and Treasury as necessary to deliver acquisition
  • Drafting and negotiation of commercial contracts of all descriptions 
  • Advising business on existing contract compliance and termination
  • Legal and Compliance support and advice for operational projects as required
  • Providing support, general advice, and guidance to the business on day-to-day general legal and regulatory matters and high level corporate governance issues as required
  • Review of policies, procedures, and customer communications
  • Develop and oversee a portfolio of outsourced law firms
  • Responsibility for maintaining knowledge of local legal developments and maintaining relevant legal templates
  • Ongoing review of legal processes to identify potential process improvements/efficiencies
  • LLB (Hons) or equivalent
  • Graduate Diploma of Legal Practice
  • Minimum 5+ years PQE
  • Advanced negotiation skills
  • Excellent written and verbal communication skills
  • Advanced commercial awareness
  • Advanced time and matter management skills
  • Skill level sufficient to work with minimal supervision
